Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, applications, tools, and services provided by Unbounded Pioneering Inc. ("Unbounded Pioneering", "we", "us", or "our"), including the Timothe AI platform and Tools by Timothe AI (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.

If you have a separate written agreement with us, or you have agreed to our Japanese-language terms of service, that agreement prevails over these Terms to the extent of any conflict.

1. The Services

  1. We provide the Services as described on our websites. Parts of the Services are under active development and may be offered as beta features.
  2. We may add, change, suspend, or discontinue features of the Services. Where a change materially affects you, we will give reasonable notice when practicable.
  3. The Services may contain bugs or errors. They are provided on an "as is" and "as available" basis, as further described in Section 11.

2. Accounts

  1. You must provide accurate and up-to-date information when creating an account.
  2. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Do not share your credentials with third parties.
  3. Notify us promptly at the contact address in Section 17 if you suspect unauthorized use of your account.

3. Fees, Credits, and Payment

  1. Some Services are free of charge; others require payment of fees or the purchase of credits, as displayed at the time of purchase.
  2. Credits are consumed as displayed in the Services. Free credits or allowances may be changed or withdrawn at any time.
  3. Except where required by applicable law or expressly stated otherwise, all payments are final and non-refundable. We do not refund fees or credits consumed by requests that fail due to your input or your breach of these Terms.
  4. We may change our prices prospectively. Price changes do not affect credits you have already purchased.
  5. Fees are exclusive of taxes. You are responsible for any applicable taxes other than taxes on our income.

4. Your Content

  1. You retain all rights to the materials, text, images, and other content you upload to or create with the Services ("Your Content").
  2. You grant us a non-exclusive, worldwide license to host, store, process, transmit, and display Your Content solely as necessary to operate and provide the Services, including making it available to people you choose to share it with.
  3. You are responsible for Your Content, including having the necessary rights to it and ensuring that it complies with applicable law.

5. AI Features and Outputs

  1. The Services use artificial intelligence. AI-generated output may be inaccurate, incomplete, or unsuitable for your purpose. Review output before relying on it. Output is not professional (legal, medical, financial, or other) advice.
  2. We do not use Your Content, your prompts, or your conversation logs to train AI models, and our agreements with the AI providers we use prohibit them from doing so.

6. Our Intellectual Property

  1. The Services, including all related software, systems, designs, and content other than Your Content, are owned by us or our licensors.
  2. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms for as long as you use the Services.
  3. You may not copy, modify, distribute, sell, or lease any part of the Services, or reverse engineer or attempt to extract the source code of the Services, except to the extent permitted by mandatory law.

7. Acceptable Use

You agree not to:

  1. use the Services in violation of applicable law or to infringe the rights of others;
  2. upload or share content that is unlawful, infringing, defamatory, harassing, or otherwise harmful;
  3. interfere with or disrupt the Services, place an excessive load on our infrastructure, or attempt to gain unauthorized access to the Services or related systems;
  4. use another user's credentials or misrepresent your identity;
  5. use the Services to develop a competing product or service, or for benchmarking, without our prior written consent; or
  6. remove or alter any proprietary notices in the Services.

We may remove content and suspend or restrict access to the Services when we reasonably believe this section has been violated.

8. Third-Party Services

The Services may link to or interoperate with third-party services. Your use of a third-party service is governed by that service's own terms, and we are not responsible for third-party services.

9. Privacy and Security

Our handling of personal information is described in our Privacy Policy. Our security practices are described in our Information Security Policy, and the subprocessors we use are listed on the Subprocessors page.

10. Suspension and Termination

  1. You may stop using the Services or close your account at any time.
  2. We may suspend or terminate your access to the Services if you breach these Terms, if your use poses a risk to the Services or to others, or if required by law. We will give prior notice when practicable.
  3. Upon termination, your right to use the Services ends. We may delete Your Content and other account data 90 days after termination, so export any data you need before then.

11. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by applicable law:

  1. we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost data, or business interruption; and
  2. our total aggregate liability arising out of or relating to the Services is limited to the amounts you paid to us for the Services in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability arising from our willful misconduct or gross negligence.

13. Indemnification

You will indemnify and hold us harmless from third-party claims, and related costs and expenses, arising out of Your Content or your breach of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will provide notice (for example, by posting on our website or emailing you) before it takes effect. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the Tokyo District Court in the first instance. If you are a consumer, this section does not deprive you of the protection of mandatory consumer protection laws of your country of residence.

16. Language

These Terms are drafted in English. Translations into other languages are provided for convenience only; if there is any inconsistency, the English version prevails. Our Japanese-language terms of service are a separate document that applies where expressly agreed.
